Terms & Conditions
1. Order Acceptance
· All orders placed by the customer are subject to acceptance by Franmar Distributor’s LLC.
· Acceptance will only be valid when confirmed in writing or through the dispatch of the products.
2. Prices and Payments
· The prices indicated on the invoice correspond to those in effect at the time of the order and are subject to change without prior notice.
· All payments must be made within the agreed timeframe, unless otherwise stipulated in writing.
· Late payments will be subject to a monthly interest of 5% on the outstanding balance.
3. Delivery and Times
· Delivery times are estimated and may vary due to circumstances beyond the control of Franmar Distributor’s LLC.
· We are not responsible for delays caused by force majeure, natural disasters, strikes, or transportation disruptions.
· The customer must inspect the products at the time of delivery. Claims for shortages, damages, or defects must be made at that time.
4. Ownership and Risk
· Ownership of the products will pass to the customer once full payment is received. In the case of customers with approved credit, the conditions stipulated in the credit agreement will apply.
· The risk of loss or damage transfers to the customer at the time of delivery at the agreed location.
5. Returns and Claims
· Only returns previously authorized in writing will be accepted.
· Returned products must be in their original packaging, unopened, and accompanied by the corresponding documentation.
· Returns of perishable or expired products will not be accepted unless the error is attributable to Franmar Distributor’s LLC.
· Orders must be verified at the time of delivery. If not, no subsequent claims will be accepted.
· In the case of expired products, only a 30% refund of their value will be applied.
· No credit will be granted for:
- Products with more than 45 days until expiration
- Seasonal merchandise
- Payments received after 45 days
* All approved credit will be valid on your next purchase.
6. Warranties
· We guarantee that the products will be free from manufacturing defects.
· This warranty does not cover damages due to improper handling, incorrect storage, or unauthorized use.
7. Limitation of Liability
· Franmar Distributor’s LLC shall not be liable for indirect losses, lost profits, or consequential damages arising from the use or distribution of the products.
8. Special Conditions of Promotions
· Any offer, discount, or promotion will be subject to the specific conditions indicated on the invoice or contract.
· The customer must comply with the terms to receive the benefits.
9. Jurisdiction and Applicable Law
· Any dispute will be resolved under the laws of the State of Puerto Rico and submitted to the competent courts.
10. Confidentiality
· The customer agrees not to disclose prices, business conditions, or any confidential information related to this transaction without prior written authorization.
ADDITIONAL SALES CONDITIONS (Web / Special Contracts)
11. Storage and Handling Conditions
· The customer must comply with the specific storage conditions (temperature, humidity, etc.) indicated by Franmar Distributor’s LLC. We are not responsible for damages resulting from non-compliance.
12. Loyalty Programs and Bonuses
· In the case of volume discounts or bonuses, the previously stipulated requirements must be met for their application.
13. Recurring Orders / Automatic Replenishment
· If applicable, the terms of automatic orders will be established by contract. Any modification must be notified in advance.
14. Cancellations and Modifications
· Cancellations/modifications will only be accepted if the order has not been dispatched.
· Penalties may apply for late cancellations.
15. Intellectual Property
· The reproduction, copying, or modification of any element protected under intellectual property (including trademarks and packaging) is prohibited.
16. Exclusivity
· When an exclusivity agreement exists, the client agrees to respect the agreed-upon market and location restrictions.
17. Transportation and Logistics
· The cost of transportation and responsibility will be defined for each order.
· For urgent or customized shipments, additional charges apply.
18. Perishable Products
· Products with expiration dates must be handled according to the provided instructions.
· Returns must comply with the provisions in Section 5.
19. Insurance and Liability
· For high-value products, Franmar Distributor's LLC will determine if they are insured. If they are not, the risk will be the customer's after delivery
20. Audit
· Franmar Distributor’s LLC reserves the right to audit the customer's compliance with the contractual terms.
21. Dispute Resolution
· Friendly resolution will be encouraged. If no agreement is reached, mediation or arbitration may be sought before proceeding judicially.
22. Substitutions
· In the event of inventory shortages, we may substitute products with equivalents, subject to prior authorization from the customer.
23. Force Majeure
· Includes pandemics, economic crises, regulatory changes, or other unforeseen causes.
24. Regulatory Compliance
· The client is responsible for complying with local regulations (licenses, labeling, taxes, etc.) for the sale/distribution of the products.
25. After-Sales Support
· Includes customer service, tracking of claims, and replacement for justified defects.
26. No Resale
· Resale to unauthorized third parties is prohibited if it interferes with our distribution strategy.
27. Update of Terms and Conditions
· We reserve the right to modify these terms with prior notice to the client.
28. Returned Checks
· Returned checks from the bank will incur an administrative fee of $50.00.
RETURN POLICY: PROPERLY SHIPPED PRODUCTS
(In compliance with 21 CFR §121 - FDA)
Returns of products that have been properly shipped and delivered will not be accepted unless:
· There is a documented dispatch error attributable to Franmar Distributor’s LLC.
· There is evident damage during transportation, reported within 24 hours of receipt.
Justification
1. Adulteration Risks: It cannot be guaranteed that the product has not been tampered with once it is out of our control.
2. Traceability: Accepting returns affects traceability and regulatory compliance.
3. Food Safety: To protect the consumer and comply with the FDA, the re-entry of product into inventory without control is not allowed.
